The GameStop Pro Program (“Program”) is sponsored by GameStop® (“GameStop”or “we” or “us” or “our”) and governed by these Terms and Conditions, whichcan be foundat https://www.gamestop.com/TermsConditions.htmloranywhere else that they are displayed or linked (“Terms”), and the GameStopPrivacy Policy, which can be foundat https://www.gamestop.com/PrivacyPolicy.html(“Privacy Policy”).

Please read these Terms and the Privacy Policy carefully because they governyour participation and use of the Program. You (“You” or “Member”)acknowledge and agree that by purchasing a GameStop Pro Membership, or beingautomatically enrolled in, accessing, joining, or using the Program, youhave read, understand, and agree (a) to be bound by these Terms and thePrivacy Policy; (b) to receive advertising, marketing materials, and othercommunications, unless expressly prohibited by law; and (c) to comply withall applicable laws and regulations. If you do not agree to, or cannotcomply with, these Terms and the Privacy Policy, then you must stopaccessing, joining, or using the Program.

We may revise these Terms or the Privacy Policy to reflect changes to theProgram, our users’ needs, our business priorities, or changes in laws andregulations. We will give you notice of such revisions in accordance withlegal requirements. If, however, you do not agree to, or cannot comply with,the modified Terms, you must immediately stop accessing, joining, or usingthe Program. Your continued use of the Program after any such updateconstitutes your binding acceptance of such changes.

THESE TERMS CONTAIN A MANDATORY ARBITRATION AND CLASS ACTION WAIVERPROVISION THAT, AS FURTHER SET FORTH IN THE "DISPUTE RESOLUTION" SECTIONBELOW, REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVEDISPUTES RATHER THAN JURY TRIALS OR ANY OTHER COURT PROCEEDINGS OR CLASSACTIONS OF ANY KIND.

Membership Eligibility

Membership in the Program is valid only at participating GameStop U.S.retail store locations and onlineat www.GameStop.com.Membership is open to residents of the United States who are 13 years of ageor older. If a Member is between 13 and the age of majority in his/herstate, then the Member agrees that he/she has obtained permission from aparent or legal guardian to access, join, or use the Program. GameStop doesnot knowingly collect information from children under 13. If you are aparent, guardian, or other person and become aware of information collectedfrom an individual under 13, please contact us immediately by toll-freephone at 1-800-883-8895 or via the Contact Us section below.

Your Account

To participate in the Program or to sign up for a Membership, you willcreate a GameStop account (the “Account” or “GameStop Account”). You mayhave only one (1) GameStop Account as part of the Program. Creation ofmultiple GameStop Accounts can result in termination of all your GameStopAccounts, Membership(s) and/or associated activities. Members areresponsible for maintaining accurate and updated personal information intheir GameStop Account.

You can create a free GameStop Account without participating in the Program.However, you will not receive the benefits of the Program unless you have aMembership in good standing in the Program.

Members can obtain information about the Program, their GameStop Accountactivity, and change their profile preferences and contact information atany time byvisiting www.gamestop.com/account .GameStop Account and Program information may also be obtained by contactingGameStop Guest Care (“Guest Care”) as described in the Contact Us sectionbelow.

You are responsible for notifying us if you become aware of any unauthorizeduse of or access to your GameStop Account. To contact us, please see theContact Us section below. You understand and agree that we may require youto provide information that may be used to confirm your identity and helpensure the security of your GameStop Account. GameStop will not be liablefor any loss, damages, liability, expenses, or lawyers’ fees that you mayincur as a result of someone else using your password or GameStop Account,either with or without your knowledge and/or authorization, and regardlessof whether you have or have not advised us of such unauthorized use. Youwill be liable for losses, damages, liability, expenses, and lawyers’ feesincurred by GameStop or a third party due to someone else using yourGameStop Account.

Advertising, Marketing Materials, and Other Communications

Members agree to receive advertising, marketing materials, and othercommunications, including but not limited to, email, SMS text, telephone,push notifications or direct mail, unless expressly prohibited by law.

Membership

Membership numbers, cards (digital or otherwise), points, offers, rewardcertificates, and any other benefits of the Program are nontransferable,have no cash value, may not be purchased, and are not redeemable for cashunder any circ*mstances except as required by law. Accumulated points,offers, and rewards certificates do not constitute property of the Member.Accumulated points and coupons are not transferable by the Member upondeath, as part of a domestic relations matter, or otherwise. Points andother benefits of the Program may be taxable where required by law.

Members may be provided with the ability to use usernames, passwords, orother codes or devices to gain access to restricted portions of GameStopwebsites and mobile applications including, withoutlimitation, www.GameStop.com andthe GameStop App (which includes the iOS and Android versions thereof)("Access Codes"). Transactions completed on www.GameStop.com or the GameStopApp are subject to the Conditions of Use foundat https://www.gamestop.com/disclaimer.html.Each Member has the responsibility for the use of and maintaining theconfidentiality of Member’s own Access Codes.

Entities or persons are prohibited from using the Program for profit and arenot eligible to become Members or to accumulate points.

GameStop reserves the right at any time to modify or discontinue,temporarily or permanently, the Program (or any part thereof), with orwithout notice. GameStop shall not be liable to you or any third party forany modification, suspension, or discontinuance of the Program. We reservethe right, but are not obligated, to limit the sales of our products or theProgram to any person, geographic region, or jurisdiction. We may exercisethis right on a case-by-case basis. We reserve the right to limit thequantities of any products or services that we offer. All descriptions ofproducts, services or related pricing are subject to change at any timewithout notice, at the sole discretion of us. We reserve the right tocorrect any errors, inaccuracies, or omissions, and to change or updateinformation or cancel orders if any information in the Program or on anyrelated website is inaccurate at any time without prior notice.

GameStop may, in our sole and absolute discretion, terminate, suspend, orotherwise deny your access to all or part of the Program at any time for anyor no reason at all, with or without notice to you. If we terminate yourright to access the Program, these Terms will terminate and all rights youhave to access the Program will immediately terminate; however, certainprovisions of these Terms will still apply post termination, including,without limitation, and as applicable, the Mandatory Arbitration and ClassAction Waiver provisions.

Termination of your GameStop Account may also include, at GameStop's solediscretion, the deletion of your GameStop Account and/or User Content, andyou will not be able to retrieve any information related to your GameStopAccount except as required by applicable law. If we terminate your right toaccess the Program, you will remain liable for all amounts due up to andincluding the date of termination. Cancellation of Membership results inloss of all of Member’s accumulated points (bonus or otherwise).

A Member may voluntarily cancel his or her Membership by notifying GuestCare as indicated in the Contact Us section below. Members who cancelvoluntarily may not re-activate their Membership.

GameStop Pro® Membership (formerly known as GameStop PowerUp Rewards ProMembership)

At time of enrollment, or at any time after initial enrollment, a Member maypurchase a GameStop Pro Membership ("Pro Member," “Pros,” or "ProMembership") in select stores participating in the Program, or onlineat www.gamestop.com orthrough the GameStop App. The current price for a Pro Membership is $25 peryear. Membership fees and terms (which include benefits) may vary and aresubject to change at any time and in GameStop’s sole discretion. Subject tochange without notice, a Pro Member is entitled to the following benefitscommencing immediately following the purchase of the Pro Membership:

• 5,000 welcome bonus points, which will be added within the first monthof enrolling as a Pro for the first time. Pros that renew theirMembership will not receive welcome bonus points.
• 5,000 auto-renewal bonus points, which will be added within the month ofsuccessfully having your GameStop Account auto-renew. Pros that renewtheir Membership manually, or whose payment method on file fails tosuccessfully auto-renew their Membership, will not receive auto-renewalbonus points.
• 5% extra off discount on certain categories, including:
• Pre-owned consoles, pre-owned video games, pre-owned video gameaccessories, and pre-owned tech,
• Collectibles, trading cards, toys and apparel, which include boardgames, blind bags, actions figures, replicas, statues, and gradedcollectibles,
• Clearance,
• GameStop brand products, which include products from Atrix, Geeknet,and Modern Icons (excludes GameStop gift cards),
• GameStop Product Protection Plans: Applies only to GameStop productreplacement plans and Game Play Guarantee plans purchased fromGameStop in-store. A product protection plan is a service contract.See service contract terms for specific coverage, limitations, andexclusions. Note that Pro Membership is not required to purchase aGameStop product replacement plan, and Pro Members are not requiredto purchase a GameStop product replacement plan to maintain theirPro Membership. GameStop product replacement plans purchased on thesecondary market or from or through a third party and third partyproduct replacement plans are not included in this discount, and
• Digital Games and Currencies: Applies to digital games, virtualcurrencies, subscriptions, add-ons, and digital pre-orders.
• These above discounts and categories are subject to change at anytime and in GameStop’s sole discretion, and exclusions may apply.Products that are in two or more categories will only get 5% extraoff (such discount is not cumulative - for example, if you have aproduct that qualifies as a GameStop brand product and apparel, youwill get 5% extra off that item, not 10% extra off). Such discountsdo not apply to taxes, fees and delivery charges, and are applied onper qualifying product basis. Where applicable, such discounts willbe applied after all other eligible discounts and deductions areapplied, except for where otherwise stated. Such discounts may notbe used in conjunction with any coupons or in connection withemployee discounts, or any corporate, institutional, or prearrangedgroup discounts, unless specifically stated.
• 2% back in rewards: 20 points will be accumulated for every U.S. dollarspent, excluding the cost of a Pro Membership and purchase of GameStopgift cards. Other exclusions may apply.
• 5% extra trade-in credit on graded collectibles and 10% extra trade-incredit on games, accessories, and more. Excludes tech trades. Suchcredit is in the form of cash or GameStop store credit only. Otherexclusions may apply.
• Pro $5 Monthly Reward: These coupons provide $5 off one eligible item,such as games, accessories, collectibles, and hardware. Coupons can beused once in total, either in-store or online. A Pro Member can only useone (1) Pro $5 Monthly Reward coupon per month. Coupons will be madeavailable in a Pro Member’s Account within the first week of eachcalendar month and will expire during the last day of that calendarmonth. These coupons cannot stack or be used with other promotions. Thecoupon cannot be used on gift cards, taxes/fees, downloadable content(“DLC”), digital (online) gaming/virtual currencies, digital gamedownloads, a Pro Membership, or reservations. Other exclusions mayapply. Pros will not receive a monthly reward certificate for the monththey enroll.
• Access to Pro Exclusive Deals & Product Drops & Pro Weeks. Fromtime to time, and at GameStop’s sole discretion, GameStop maycommunicate to Pro Members certain Pro exclusive deals, product dropsand/or Pro Weeks.
• Free Shipping on Orders $54+: Pros are eligible for free shipping whenspending $54+ on one order (after discounts have been applied but beforetaxes). The order subtotal threshold also excludes pre-orders, gradedcollectibles, same day delivery, digital downloads, product protectionplans, and Buy Online Pickup In-Store. Free Shipping benefits aresubject to change at any time in GameStop’s sole discretion and otherexclusions may apply.

By accessing, joining, or using the Pro Membership, you agree to receivesuch communications from GameStop.

Substantiation of Claims

For illustrative purposes only, the following is an example of how memberscan receive up to $65 in annual value from the GameStop Pro Membership:

• $60 from the $5 Monthly Pro Reward (12 x $5 = $60), and
• $5 in Rewards from the 5,000 Welcome Points

Pro Members can potentially increase their annual value by utilizing theadditional benefits (such as the above-listed 5% extra off discount oncertain categories, 2% back in rewards, and 10% extra trade-in credit)stated in these Terms.

GameStop Pro Membership Management

A Pro Member may cancel their Membership and receive a full refund withintwo (2) days of purchase of the Membership if the Member has not used any ofthe Pro benefits, including earning points or discounts, subject to certainconditions. Upon returning the Pro Membership materials, the Pro Membershipwill be downgraded to the free GameStop Account. A Member may cancel his orher Pro Membership at any time (without refund) by notifying Guest Care bymail, email, or telephone (see the Contact Us section below). GameStop, inits sole discretion, reserves the right to cancel an individual ProMembership by refunding the purchase price. Cancellation will result in theloss of all of Member’s accumulated points (bonus or otherwise).

In the event a Pro Member does not pay to renew their Membership after the1-year period, the Member's Account will be downgraded to the free GameStopAccount and lose access to all associated benefits and points.

Accumulation of Points & Points Expiration

Only active Pro Members and GameStop Pro Credit Cardholders accumulatepoints, where “active” means Members that have a current GameStop ProMembership or GameStop Pro Credit Card, are in good standing and have made apurchase in the past twelve (12) months.

• Pro Members accumulate 20 points for every $1 spent on any eligibleproduct purchase, excluding the purchase of GameStop gift cards, taxesand fees, and reservations.
• GameStop Pro Credit Cardholders accumulate 20 points for every $1 spenton any eligible product purchase. Certain products or charges may beineligible for points.
• GameStop Pro Credit Cardholders with a Pro Membership accumulate up to40 points for every $1 spent by combining the above two benefits.

For points to be accumulated, the Member’s Account number must be providedat the time of purchase of eligible products in store or online. Rates aresubject to change without notice. “Accumulation of points” or “accumulatedpoints” or “accumulate points” or “earned points” means points (bonus orotherwise) that are posted to, or recorded on, a Member’s GameStop Accountbased on an eligible purchase or bonus.

Points will post or record to a Member’s GameStop Account withinapproximately 24-48 hours from the time of purchase. Points for onlineorders may not post or record until the entire order has been fulfilled.Members are responsible for ensuring that their points are properly postedor recorded on their respective GameStop Accounts. If proper posting orrecording of points does not appear on the Member’s activity statement, theMember should contact Guest Care within thirty (30) days of the purchase orgrant of bonus, respectively. No adjustments to a Member's Account will bemade after 30 days from the actual date of purchase or the grant date ofbonus, respectively, except at GameStop's sole discretion.

Select other products may, at any or all times, accumulate lower orzero-point values at GameStop's sole discretion.

GameStop Accounts without a Pro Membership and/or without a GameStop ProCredit Card do not accumulate points.

The amount of points accumulated from any eligible product purchased will berounded up to the nearest whole point. Point calculations are based upondollars spent at checkout on eligible purchases less taxes, fees, deliverycharges, rebates, or other excluded charges.

Points cannot be accumulated on purchases made before a Member initiates aGameStop Account and Members cannot view their accumulated points or redeemtheir points for rewards until the GameStop Account profile is completedat www.gamestop.com/create-account.

Members do not accumulate points for the amount of any coupons redeemed ordiscounts applied or other ineligible tender type. When Members returnproducts to the store, points previously posted to a Member's GameStopAccount for that purchase will be deducted from the Member's GameStopAccount. Other exclusions and limitations may apply.

Except as may be required by law, in the event that a Member returnsmerchandise that was partially or wholly paid for with a coupon(s), thecoupon(s) and points used in connection with the purchase will not bereissued.

The following outlines point expiration:

• Points are valid for 13 months from date of accumulation (that is, thedate of when the points are posted to, or recorded on, the Member'sAccount).
• Except as otherwise provided in these Terms, all of Member’s accumulatedpoints will expire 45 days after expiration of Member’s GameStop ProMembership, or immediately upon termination, whichever is earliest.
• GameStop Pro Credit Cardholders’ points will not expire after the datethat they are posted to your points balance; however, they will besubject to the terms described in the Prohibited Activities and Uses and GameStopPro Membership Auto-Renew Program sections.
• 90 days after closure of your GameStop Pro Credit Card account, yourpoints will be subject to normal expiration rules, in which (i) GameStopPro Member points expire 13 months from the original date ofaccumulation and (ii) the lapse of your GameStop Pro Membership willresult in the expiration of all points 45 days after the lapse.

GameStop reserves the right to change the points expiration terms at anytime without notice and at its sole discretion.

Prohibited Activities and Uses

Use of the Program for any illegal purpose, or any other purpose notexpressly permitted in these Terms, is strictly prohibited. Abuse of theProgram, including failure to comply with these Terms,the Conditionsof Use andthe PrivacyPolicy , may result in cancellation or termination of the Member'sGameStop Account and/or Pro Membership and disqualification fromparticipation in the Program and forfeiture of all points accumulated. Inconnection with the enforcement of any of these Terms, GameStop reserves theright to take appropriate legal action, as it deems necessary, and torecover damages, attorneys' fees and costs.

Without limitation, you will not:

• post content that: (1) harasses, abuses, or threatens any other person,or that contains obscene content; (2) is false, misleading, orinaccurate; (3) degrades or discriminates against others on the basis ofgender, race, class, ethnicity, national origin, religion, sexualpreference, disability, or any other classification; (4) is indecent,offensive, harassing, violent, hateful, inflammatory, unlawful, harmful,tortious, defamatory, libelous, or invasive of another's privacy; (5)promotes sexually explicit or p*rnographic material, violence, or anyillegal acts; (6) infringes the legal rights of any person or containsany material that could give rise to any civil or criminal liabilityunder applicable laws or regulations or that otherwise may be inconflict with these Terms; or (7) gives the impression that they emanatefrom or are endorsed by us or any other person or entity, if this is notthe case;
• use the Program commercially;
• use the Program for benchmarking, or to compile information for aproduct or service;
• copy, download (other than through page caching necessary for personaluse, or as otherwise expressly permitted by these Terms), modify,distribute, post, transmit, display, perform, reproduce, broadcast,“mirror,” duplicate, publish, republish, upload, license, reverseengineer, create derivative works from, or offer for sale any content orother information contained on or obtained from or through the Program,by any means except as provided for in these Terms, or with the priorwritten consent of GameStop;
• scrape, access, monitor, index, frame, link, or copy any content orinformation that is found on or is part of the Program by accessing theProgram in an automated way, using any robot, spider, scraper, webcrawler, or any other method of access other than manually accessing thepublicly-available portions of the Program through a browser oraccessing the Program through any API provided or approved by GameStop;
• breach the restrictions in any robot exclusion headers of the Program,if any, or bypass or circumvent other measures employed to prevent orlimit access to the Program;
• post material that advocates illegal activity or discusses illegalactivities with the intent to commit them;
• post or otherwise make available any material that contains anysoftware, device, instructions, computer code, files, programs and/orother content or feature that is designed to interrupt, destroy, harm,or limit the functionality of any computer software or hardware ortelecommunications equipment (including without limitation any timebomb, virus, malware, software lock, worm, self-destruction,drop-device, malicious logic, Trojan horse, trap door, "disabling,""lock out," "metering" device, or any malicious code);
• post or do anything that could disable, overburden, or impair the properworking of the Program;

• post material that impedes or otherwise prohibits communication ordisrupts Member discussion;
• post, utilize, or otherwise make available any other party'sintellectual property unless you have the right to do so, or remove oralter any copyright, trademark, or other proprietary notice contained onthe Program;
• post any trade secrets or other confidential information, or post anymaterial that you do not have a right to make available under any law orunder contractual or fiduciary relationships, including but not limitedto inside information or proprietary and confidential informationlearned or disclosed as part of employment relationships or undernon-disclosure agreements;
• falsely state or otherwise misrepresent your affiliation with a personor entity, or impersonate any person or entity in a manner that does notconstitute parody, including use of a false email address;
• solicit Personal Information from other users including withoutlimitation address, credit card or financial account information, orpasswords;
• send spam, commercial electronic messages or other advertisem*nts orsolicitations, surveys, contents, pyramid schemes, promote commercialentities, or otherwise engage in commercial activity on or through theProgram;
• frame, inline link, or similarly display the Program or any portion ofthe Program;
• breach these Terms,the Conditionsof Use , orthe PrivacyPolicy , or any other guidelines or policies posted by GameStop;
• facilitate violations of these Terms,the Conditionsof Use , orthe PrivacyPolicy , or
• interfere with any other party’s use or enjoyment of the Program.

GameStop Pro® Membership Auto-renew Program

Pro Members may opt to participate in the auto-renew program, which allowsthe Member to automatically renew their Pro Membership each year usingpayment information GameStop has on file (“Auto-renew Program”).

PARTICIPANTS IN THE AUTO-RENEW PROGRAM UNDERSTAND AND EXPRESSLY AGREETHAT, UNLESS THEY CANCEL, 1) THEIR MEMBERSHIP IN THE PRO MEMBERSHIPPROGRAM WILL AUTOMATICALLY RENEW EACH YEAR, AND 2) THEY AUTHORIZEGAMESTOP (WITHOUT NOTICE, UNLESS REQUIRED BY LAW) TO COLLECT AND CHARGE$25 (OR THE THEN-APPLICABLE MEMBERSHIP FEE) EACH YEAR ON OR ABOUT THEANNUAL ANNIVERSARY OF THE DATE THEY ENROLLED IN THE AUTO-RENEW PROGRAM(“ANNIVERSARY”) USING ANY CARD OR OTHER PAYMENT METHOD THAT GAMESTOP HASON FILE FOR THEM. ALL PRICES ARE PLUS APPLICABLE TAXES. GAMESTOP MAY, INITS SOLE DISCRETION, CHANGE THE ANNUAL MEMBERSHIP FEE. TO CANCEL,MEMBERS MUST VISIT GAMESTOP.COM/ACCOUNT. EMAIL CARE@GAMESTOP.COM, OR CALL 1-800-883-8895 AT LEAST 5 DAYS BEFORE THEIR ANNIVERSARY. IF AMEMBER IS EMAILING THEIR CANCELLATION, THEY MUST PROVIDE THE NAME ANDEMAIL ADDRESS ASSOCIATED WITH THEIR MEMBERSHIP. CHANGES TO THEAUTO-RENEW PROGRAM WILL BE COMMUNICATED AS REQUIRED BY LAW.

Members in the Auto-renew Program are required to maintain accurate andup-to-date payment information to participate, which may be updated byvisiting gamestop.com/account,emailing CARE@GAMESTOP.COM (doNOT email us your payment information), or calling 1-800-883-8895. Shouldpayment fail, your Membership will not renew, benefits will stop effectiveimmediately, and points will expire. GameStop assumes no responsibility orliability if a Member’s participation in the Pro Membership Program issuspended or otherwise expires because of outdated or incorrect personal orpayment method information, outdated or invalid payment method, or forcemajeure events, including, but not limited to, acts of God, flood, fire,earthquake, tornados, hurricanes or explosion, war, invasion, hostilities(whether war is declared or not), terrorist threat or act, riot or othercivil unrest, government order or law, embargoes, sanctions, actions by anygovernment authority, national or regional emergencies, strikes, laborstoppages or slowdowns or other industrial disturbances, epidemic, pandemic,power failure and other similar events beyond GameStop’s control.

Cancellation will stop further charges and stop auto-renewal of the ProMembership; however, no prorated amounts shall be refunded to the Memberupon cancellation or termination of participation in the Auto-renew Programunless where required by law. If cancelled, a Member’s Pro Membership willbe valid and continue through the end of the then-current billing cycle.

Redemption of Points and Point-Management Preferences

Points may be redeemed for reward certificates of various denominations.Members redeeming points for a reward certificate for use at a GameStopstore must present the reward certificate, along with valid proof ofidentification at the time of use. Reward certificates may be used inconjunction with most other discounts, but the total discounts may notexceed the purchase amount. Limit of three (3) of any coupon, discount, orother offer per person, per Account, per day. Reward certificates of thesame value are not stackable. Offers and reward certificates are not validon prior purchases, certain products and services, purchase of gift cards,downloadable content ("DLC"), or for tax or state fees. Other restrictionsmay apply. Reward certificate and offer expiration dates are as listed oneach certificate or offer, and reward certificates will not be replaced iflost or stolen. Only active Pro Members and GameStop Pro Credit Cardholderscan redeem reward certificates.

GameStop may also change the available Member settings and point redemptionoptions, at any time and in its sole discretion, consistent with applicablelaw.

GameStop’s Rewards Center

In addition to reward certificates, Members may redeem points for items inGameStop’s Rewards Center by visiting a GameStop store (subject toverification of Member and applicable GameStop Account; limit of three (3)redemptions per day) or onlineat GameStop'sRewards Center. The Rewards Center is subject to change at any timewithout notice in GameStop’s sole discretion. GameStop also reserves theright to make different offers to different Members at different points intime.

Members redeeming points for merchandise outside of GameStop stores willreceive an email confirmation including instructions for redemption. Partnercoupons are provided by and are the responsibility of the partner. GameStopassumes no responsibility for their continued validity or the continuedoperation of the partner.

Reservations

Members may make pre-order deposits (“Reservations”) toward the purchase ofcertain items. To redeem a Reservation, you must pay the remaining balanceof product (plus any tax) at the store where the Reservation was placed whenthe product releases (“Release Date”).

INFORMAL RESOLUTION: You and GameStop will first attempt to resolve anyclaim informally. Accordingly, neither you nor GameStop may start a formalarbitration proceeding for at least 60 days after one party notifies theother party of a claim in writing. As part of this informal resolutionprocess, You must deliver Your written notices via hand or first-class mailto us at GameStop, Attn: Guest Care, 625 Westport Parkway Grapevine, Texas76051.

GOVERNING LAW: You and GameStop agree that these Terms and any Dispute youmay have with GameStop, will be governed by federal law and the FederalArbitration Act as to arbitration issues and the law of the State of Texasfor all other issues, without reference to the principles of conflicts oflaws thereof. You agree that the United Nations Convention on Contracts forthe International Sale of Goods (1980) and Uniform Computer InformationTransactions Act (UCITA), as adopted by any state, are specifically excludedfrom application to this Agreement.

WE BOTH AGREE TO ARBITRATE: You and GameStop agree to resolve any disputebetween you and GameStop or its affiliates (“Dispute”) through final andbinding arbitration, with two exceptions. First to the extent you have inany manner violated or threatened to violate our intellectual propertyrights (for example, trademark, trade secret, copyright, or patent rights)or to the extent that you believe we have violated or threatened to violateyour intellectual property rights. Under such circ*mstances we or you maybring a lawsuit solely for injunctive relief to stop intellectual propertyinfringement (for example, trademark, trade secret, copyright, or patentrights) without first engaging in arbitration or the informaldispute-resolution process described above. Second, you may bring any matterwithin the jurisdiction of a small claims court or similar court in whichyou seek less than $10,000 in a small claims court or similar court on anindividual basis without a class action and without any request forinjunctive relief.

WHAT IS ARBITRATION: You and GameStop mutually agree to forego the delay andexpense of using a court of law and choose instead to benefit from thespeedy, economical, and impartial dispute resolution procedure of usingbinding arbitration for Disputes that arise between You and GameStop, itsrelated and affiliated companies, successors, and assigns; and/or anycurrent or former employee, officer, or director of GameStop or any relatedor affiliated company. Arbitration is more informal than a lawsuit in courtand seeks to resolve disputes more quickly. Instead of a judge or a jury,the case will be decided by a neutral arbitrator who has the power to awardthe same damages and relief that a court can. If any provision of thisarbitration agreement is found unenforceable, the unenforceable provisionshall be severed, and the remaining arbitration terms shall be enforced. Youand GameStop agree that this Dispute Resolution Section is governed by theFederal Arbitration Act, 9 U.S.C. § 1 et seq., and will survive even ifthese Terms and Conditions terminate. Any revision to or termination of theTerms & Conditions that modify or terminate this Dispute ResolutionSection shall not apply to a pending arbitration, to any claim that accruedprior to the modification or termination, or to any claim that the assertingparty knew about prior to the modification or termination, except as may berequired by applicable law.

WAIVER OF JURY TRIAL: THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL ANDSTATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR AJURY, instead electing that all claims and disputes shall be resolved byarbitration. Arbitration procedures are typically more limited, moreefficient and less costly than rules applicable in court and are subject tovery limited review by a court. In the event any litigation should arisebetween You and us in any state or federal court in a suit to vacate orenforce an arbitration award or otherwise, YOU AND GAMESTOP WAIVE ALL RIGHTSTO A JURY TRIAL, instead electing that the dispute be resolved by a judge.YOU ACKNOWLEDGE THAT YOU HAVE BEEN ADVISED THAT YOU MAY CONSULT WITH ANATTORNEY IN DECIDING TO ACCEPT THIS AGREEMENT TO ARBITRATE.

NO CLASS ACTIONS: Except as otherwise required under applicable law, You andGameStop agree to arbitrate any Dispute only on an individual basis andhereby waive any right to bring, participate in, or receive money or anyother relief from any representative, class, consolidated, or collectiveproceeding (“Class Action Waiver”). No party may bring a claim on behalf ofother individuals, and no arbitrator hearing any claim under these Terms andConditions may: (a) without the consent of all parties, combine more thanone individual’s claim or claims into a single case; (b) order, require,participate in, or facilitate production of class-wide contact informationor notification of others of potential claims; or (c) arbitrate any form ofa class, collective, consolidated, representative, or private attorneygeneral proceeding.

WHO DECIDES WHAT CAN BE ARBITRATED: If a party violates the agreement toarbitrate by commencing an action asserting a Dispute in a court of law,then the court (and not an arbitrator) shall have the authority to resolveany disputes about the interpretation, formation, existence, enforceability,validity, and scope of this Dispute Resolution Section. If a party complieswith the agreement to arbitrate and files for arbitration without filing acomplaint in a court of law, then the arbitrator shall have the authority toresolve any disputes about the interpretation of this Dispute ResolutionSection for purposes of discovery or the merits of the underlying claim, butshall have no authority to resolve any disputes about the formation,existence, enforceability, or validity of this Dispute Resolution Section,including the Class Action Waiver.

WHAT ARE THE ARBITRATION RULES, PROCEDURES, AND COSTS: To initiatearbitration, the party desiring to pursue a legal dispute must prepare awritten demand setting forth the claim(s) and deliver the written demandwithin the applicable statute of limitations period by hand or first-classmail to JAMS Mediation, Arbitration and ADR Services (“JAMS”) and us atGameStop, Attn: General Counsel, 625 Westport Parkway Grapevine, Texas76051. You and GameStop agree that the arbitration shall be administered byJAMS before a single arbitrator mutually agreed upon by the parties. Exceptto the extent that they are modified by the rules below, if You are anindividual person, the JAMS Streamlined Arbitration Rules & Proceduresthat are in effect at the time of the filing of the demand (and that areavailable at https://www.jamsadr.com/rules-streamlined-arbitration/) willapply.

The parties agree that the applicable JAMS rules are modified as follows:

(a) Any arbitrator must be neutral as to all parties. Standards for therecusal of an arbitrator shall be the same standards under which trialjudges are recused under Texas law. Unless you prefer otherwise and GameStopagrees, the arbitration shall be conducted in the county in which youreside. Or if that is not practicable, in an adjacent county as determinedby JAMS.

(b) No party is entitled to its attorneys’ fees, except as may be awarded ina matter authorized by and consistent with applicable law.

(c) All discovery shall be subject to any and all objections available underFRCP 26(b). Each party shall avoid broad or widespread collection, search,and production of documents, including electronically stored information. Ifa compelling need is demonstrated by the requesting party, the productionshall: (i) be narrowly tailored in scope; (ii) only come from sources thatare reasonably accessible without undue burden or cost; and (iii) beproduced in a searchable format, if possible without undue burden or cost,and which is usable by the receiving party and convenient and economical forthe producing party. Where the costs and burdens of the requested discoveryoutweigh its likely benefit, considering the needs of the case, the amountin controversy, and the importance of the discovery in resolving the issues,the arbitrator shall deny such requests or order production on conditionthat the requesting party advance to the producing party the reasonablecosts involved in making the production, subject to the allocation of costsin the final award.

(d) The arbitrator shall have the authority to award the same damages andother relief that would have been available in court pursuant to the lawgoverning the Dispute(s).

(e) Either party shall have the right to file motions to dismiss and motionsfor summary judgment/adjudication.

(f) The arbitrator shall have the authority to issue an award or partialaward without conducting a hearing on the grounds that there is no claim onwhich relief can be granted or that there is no genuine issue of materialfact to resolve at a hearing.

(g) The Federal Rules of Evidence shall apply to all arbitrationproceedings.

(h) The arbitrator must issue a decision in writing, setting forth insummary form the reasons for the arbitrator’s determination and the legalbasis therefor.

(i) The arbitrator’s authority shall be limited to deciding the casesubmitted by the parties to the arbitration. Therefore, no decision by anyarbitrator shall serve as precedent in other arbitrations except to precludethe same claim from being re-arbitrated between the same parties.

(j) The parties may settle any dispute on a mutual basis without involvementof the arbitrator.

(k) If You initiate arbitration, You will pay the first $250, and GameStopwill pay all other filing, administrative, or hearing fees. If You are anindividual person and GameStop initiates arbitration, GameStop will pay allfiling, administrative, and hearing fees. Regardless of which partyinitiates arbitration, You will remain responsible for Your attorneys’ feesand costs unless the law governing the Dispute(s) provides for an award ofattorneys’ fees and costs and the arbitrator determines as part of thearbitration award that You may recover a certain amount of attorneys’ feesand costs.

If any term or condition in this Dispute Resolution Section is determined tobe unenforceable or in conflict with a mandatory provision of applicablelaw, it shall be construed to incorporate any mandatory provision, or theunenforceable or conflicting term or condition shall be automaticallysevered and the remainder of this Dispute Resolution Section shall not beaffected. Provided, however, that if the Class Action waiver is found to beunenforceable, then any claim brought on a class, collective, orrepresentative action basis shall be adjudicated exclusively in the stateand federal courts located in the County of Tarrant, Texas, which shall bethe exclusive forum for such claims. You waive any and all objections to theexercise of jurisdiction over You by such courts and to venue in suchcourts.

Member Content and Submissions

Member Content and Posts. The Program may enable you tosubmit, post, upload, or otherwise make available (collectively, "Post")content such as reviews, ratings, pictures, and other content such asvideos, questions, comments, ideas, designs, features, plans, and otherfeedback (collectively, "Member Content") that may or may not be viewable byother users.

Our License to Member Content. When you Post Member Content on orthrough the Program, you grant GameStop a worldwide, perpetual, irrevocable,royalty-free, non-exclusive, and sub-licensable license to use, copy,distribute, reproduce, modify, edit, adapt, publicly perform, publiclydisplay, translate, create derivative works from, sell, lease, transmit,communicate to the public, disassemble, and publish such Member Content, inwhole or in part, in any format or medium now known or developed in thefuture, including without limitation for promoting and redistributing partor all of the Program (and derivative works thereof) in any media formatsand through any media channels. Additionally, you grant GameStop the rightto use the name you submit in connection with such Member Content. Our useof your information shall be governed bythe PrivacyPolicy .

GameStop does not provide any compensation, in either cash or product, forMember Content submitted to GameStop, including without limitation anypotential product or software ideas or applications. If you still submitsuch information to us, you agree that such information shall be deemed tobe non-confidential and nonproprietary, and GameStop shall have noobligation of any kind with respect to such information and shall be free toreproduce, use, disclose, and distribute the information on an unrestrictedbasis for any purpose whatsoever, unless expressly agreed otherwise inwriting by GameStop. Further, GameStop shall be free to use any ideas,concepts, know-how, or techniques contained in such information for anypurpose whatsoever, including but not limited to developing, manufacturing,and marketing products incorporating such information.

Member Content Representations. You acknowledge and agree thatall Member Content that you Post is your sole responsibility. You representthat you have all required rights to Post or transmit such Member Contentwithout violation of any third-party rights. You understand that GameStopdoes not control, and is not responsible for, Member Content, and that byusing the Program, you may be exposed to Member Content from other usersthat is offensive, indecent, inaccurate, misleading, or otherwiseobjectionable. Please also note that Member Content may containtypographical errors, other inadvertent errors, or inaccuracies. You agreethat you will indemnify, defend, and hold harmless GameStop for all claimsresulting from Member Content you Post. We reserve the right, at our ownexpense, to assume the exclusive defense and control of such disputes, andin any event, you will cooperate with us in asserting any availabledefenses.

Member Content Review. You acknowledge and agree that GameStopand its designees may or may not, at GameStop's discretion, pre-screenMember Content before its appearance on the Program (but does not assume anyobligation to). You further acknowledge and agree that GameStop reserves theright (but does not assume the obligation) in its sole discretion to reject,move, edit, or remove any Member Content that is contributed to the Program.Additionally, GameStop has the right to remove any Member Content thatviolates these Terms or is otherwise objectionable in GameStop's solediscretion. You acknowledge and agree that GameStop does not verify, adopt,ratify, or sanction Member Content, and you agree that you must evaluate andbear all risks associated with your use of Member Content or your relianceon the accuracy, completeness, or usefulness of Member Content.

Our Proprietary Rights

The Program is owned and operated by GameStop and contains materials(including all software, design, text, editorial materials, informationaltext, photographs, illustrations, audio clips, video clips, artwork andother graphic materials, and names, logos, trademarks, and services marks)that are derived in whole or in part from materials supplied by GameStop andits partners, as well as certain third parties, and are protected bycopyright laws, international treaty provisions, trademarks, service marks,and other intellectual property laws.

You agree to abide by all applicable copyright and other laws. Youacknowledge that the Program has been developed, compiled, prepared,revised, selected, and arranged by GameStop and others through theapplication of methods and standards of judgment developed and appliedthrough the expenditure of substantial time, effort, and money andconstitute valuable intellectual property of GameStop and such others.

You agree to protect the proprietary rights of GameStop and all othershaving rights in the Program during and after the term of these Terms and tocomply with all reasonable written requests made by GameStop or itssuppliers and licensors (collectively, “Suppliers”) regarding content orotherwise to protect their and others’ contractual, statutory, and commonlaw rights in the Program. You agree to notify GameStop immediately uponbecoming aware of any claim that the Program infringes upon any copyright,trademark, or other contractual, statutory, or common law rights.

All present and future rights in and to trade secrets, patents, copyrights,trademarks, service marks, know-how, and other proprietary rights of anytype under the laws of any governmental authority, domestic or foreign,including without limitation rights in and to all applications andregistrations relating to the Program, shall, as between you and GameStop,at all times be and remain the sole and exclusive property of GameStop. Anyunauthorized use of any material contained on or through the Program mayviolate copyright laws, trademark laws, the laws of privacy, and publicity.

Legal Compliance

You acknowledge, consent, and agree that GameStop may access, preserve, anddisclose your information and/or any Member Content you submit, post or makeavailable for inclusion on or through the Program, if required to do so bylaw or in a good faith belief that such access, preservation, or disclosureis permitted by law or byGameStop’s PrivacyPolicy or reasonably necessary or appropriate for any of the followingreasons: (1) to comply with legal process; (2) to enforce these Terms, ourPrivacy Policy, or other contracts with you, including investigation ofpotential violations thereof; (3) to respond to claims that any contentviolates the rights of third parties; (4) to respond to your requests forcustomer service; (5) to protect the rights, property, or personal safety ofGameStop, its employees, agents and affiliates, its users, and the public;and/or (6) in connection with the operations of your GameStop Account. Thisincludes exchanging information with other companies and organizations forfraud protection, spam/malware prevention, and similar purposes.

WARRANTIES, DISCLAIMERS AND LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROGRAM AND ITS CONTENTS,WHETHER PROVIDED BY GAMESTOP, ITS LICENSORS, ITS VENDORS, OR ITS USERS, ANDOTHER INFORMATION ON OR ACCESSIBLE FROM THE PROGRAM, ARE PROVIDED "AS IS"WITHOUT WARRANTY, REPRESENTATION, CONDITION, OR GUARANTEE OF ANY KIND,EITHER EXPRESSED, LEGAL, OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANYIMPLIED WARRANTIES, REPRESENTATIONS, CONDITIONS, OR GUARANTEES OF QUALITY,MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ORNON-INFRINGEMENT, ALL OF WHICH ARE DISCLAIMED. SPECIFICALLY, BUT WITHOUTLIMITATION, GAMESTOP DOES NOT WARRANT THAT: (i) THE INFORMATION AVAILABLE ONOR THROUGH THE PROGRAM IS FREE OF ERRORS; (ii) THE FUNCTIONS OR FEATURES(INCLUDING, BUT NOT LIMITED TO, MECHANISMS FOR THE DOWNLOADING AND UPLOADINGOF CONTENT) WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS; (iii) DEFECTSWILL BE CORRECTED, OR (iv) THE PROGRAM OR THE SERVER(S) THAT MAKE THEPROGRAM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THATTHE PROGRAM CANNOT BE SUBJECT TO UNAUTHORIZED ACCESS TO CONTENT OR DATA. TOTHE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GAMESTOP OR ITSAFFILIATES, LICENSORS, VENDORS, OR ANY OF THEIR RESPECTIVE DIRECTORS,OFFICERS, EMPLOYEES, AGENTS, OR OTHER REPRESENTATIVES BE LIABLE TO YOU ORANY OTHER PERSON OR ENTITY FOR ANY DAMAGES, WHETHER DIRECT, INDIRECT,SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR OTHERWISE (INCLUDING, BUTNOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, ORCOSTS OF OBTAINING SUBSTITUTE GOODS OR SERVICES), ARISING OUT OF OR INCONNECTION WITH THE PROGRAM, ANY MATERIALS, INFORMATION, OR RECOMMENDATIONSAPPEARING ON THE SERVICES, OR ANY LINK PROVIDED ON THE PROGRAM, WHETHER ORNOT GAMESTOP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND WHETHERBASED UPON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), CIVIL LIABILITY,STRICT LIABILITY, VIOLATION OF STATUTE, OR OTHERWISE. IN ANY EVENT, OURAGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT ORSERVICE TO WHICH THE CLAIM RELATES OR, IF THE CLAIM DOES NOT RELATE TO APRODUCT OR SERVICE, $100.

GAMESTOP DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FORANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THEPROGRAM OR ANY WEBSITE FEATURED OR LINKED TO OR THROUGH THE PROGRAM, ANDGAMESTOP WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORINGANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS ORSERVICES. GAMESTOP WILL NOT BE LIABLE FOR THE OFFENSIVE OR ILLEGAL CONDUCTOF ANY THIRD PARTY. YOU VOLUNTARILY ASSUME THE RISK OF HARM OR DAMAGE FROMTHE FOREGOING. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE PROGRAMFAILS OF ITS ESSENTIAL PURPOSE AND TO THE FULLEST EXTENT PERMITTED BY LAW.

If you are a California resident, you hereby waive California Civil Code§1542, which says: "A general release does not extend to claims which thecreditor or releasing party does not know or suspect to exist in his or herfavor at the time of executing the release and that, if known by him or her,would have materially affected his or her settlement with the debtor orreleased party." This release includes the criminal acts of others.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE TO INDEMNIFY, DEFEND, ANDHOLD GAMESTOP AND ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS,SHAREHOLDERS, OR REPRESENTATIVES (AND ALL SUCCESSORS AND ASSIGNS OF ANY OFTHE FOREGOING), HARMLESS FROM AND AGAINST ANY CLAIM OR DEMAND, INCLUDINGWITHOUT LIMITATION, REASONABLE LAWYERS' FEES AND DISBURsem*nTS, MADE BY ANYTHIRD PARTY IN CONNECTION WITH OR ARISING OUT OF YOUR USE OF THE PROGRAM,YOUR CONNECTION TO THE PROGRAM, YOUR VIOLATION OF THE TERMS ORGAMESTOP’S PRIVACYPOLICY . YOUR VIOLATION OF AN APPLICABLE LAW, YOUR SUBMISSION, POSTING,OR TRANSMISSION OF USER CONTENT TO THE PROGRAM, AND/OR YOUR VIOLATION OF ANYRIGHTS OF ANOTHER. WE RESERVE THE RIGHT, AT OUR OWN EXPENSE, TO ASSUME THEEXCLUSIVE DEFENSE AND CONTROL OF SUCH DISPUTES, AND IN ANY EVENT YOU WILLCOOPERATE WITH US IN ASSERTING ANY AVAILABLE DEFENSES.

Other Terms and Conditions

Contests and Sweepstakes. From time to time, Members may beeligible for sweepstakes, contests or other similar promotions.Participation in such events shall be subject to the terms, conditions, andrules published at the time of such event and applicable state laws.

Force Majeure. Under no circ*mstances shall GameStop be heldliable for any delay or failure in performance resulting directly orindirectly from an event beyond its reasonable control.

No Waiver. If we fail to insist that you perform anyobligations under these Terms, or if we do not enforce our rights againstyou, or if we delay in doing so, that will not mean that we have waived suchrights and will not mean that you do not have to comply with yourobligations. If we do waive a failure or breach by you, we will only do soin writing and that will not mean that we automatically waive any futurefailure of breach by you.

Severability. Each of the provisions of these Terms operatesseparately. If any court or relevant authority decides that any of them areunlawful or unenforceable, the remaining provisions will remain in fullforce and effect.

Third-Party Beneficiaries. You agree that, except as otherwiseexpressly provided in these Terms, there shall be no third-partybeneficiaries to these Terms.

Miscellaneous. These Terms (and all terms and conditionsincorporated herein) constitute the entire agreement between you andGameStop, and supersede any prior agreements between you and GameStop on thesubject matter, except as expressly provided herein. These Terms, and anyrights granted hereunder, may not be assigned or delegated by you. TheseTerms, and any rights granted hereunder, may be assigned or delegated byGameStop without restriction. These Terms bind and inure to the benefit ofeach party and the party’s successors and permitted assigns. These Terms maynot be modified by an oral statement by a GameStop representative. Noagency, partnership, joint venture, or employee-employer relationship isintended or created by these Terms. You agree that any agreements made byand between you and us in electronic form are as legally binding as if madein physical written form. If you are using the Program for or on behalf ofthe U.S. government, your license rights do not exceed those granted tonon-government consumers. The section titles in these Terms are forconvenience only and have no legal or contractual effect. Any provision ofthese Terms that by its nature is reasonably intended to survive beyondtermination of these Terms shall survive.

Notices. We may deliver notice to you by email, posting anotice on the Program website or any other method we choose, and such noticewill be effective on dispatch.
